01About these terms

These Terms of Service (“Terms”) apply to your use of https://marfadigitals.com (the “Website”) and to any services provided by Marfa Digitals (“Marfa Digitals”, “we”, “us” or “our”). By using the Website or working with us, you agree to these Terms. If you do not agree, please do not use the Website or our services.

02Our services

Marfa Digitals is a US-based digital growth agency headquartered at 4332 N Central Expy, Dallas, TX 75205, United States. We provide services that may include:

• Website, WordPress, Shopify and mobile app development
• SEO and local SEO
• Performance marketing, including Google Ads, Meta Ads, TikTok Ads and Local Services Ads
• Social media management and content marketing
• Brand strategy and visual design
• AI chatbots, business automation and AI solutions

The exact scope, deliverables, timeline and price for each project are set out in a written proposal, quote or statement of work (“Agreement”). If an Agreement and these Terms conflict, the Agreement applies.

03Proposals and starting work

Work begins once you approve the Agreement in writing (including by email) and any required first payment has been received. Requests outside the agreed scope may be quoted separately and are only carried out once you approve them.

04Fees and payment

Fees, payment schedules and due dates are stated in your Agreement. Unless the Agreement says otherwise:

• Project work may require a deposit before work starts, with the balance due on completion or at agreed milestones.
• Monthly services (such as SEO, ad management or social media) are billed in advance at the start of each billing period.
• Invoices are due within the number of days stated on the invoice.
• We may pause work on any account with overdue invoices until payment is received.

Fees already paid for work that has been started or completed are non-refundable, unless your Agreement states otherwise.

05Advertising spend and third-party costs

Advertising budgets are paid by you directly to the advertising platform (for example Google, Meta or TikTok) and are separate from our management fees. Third-party costs such as hosting, domains, premium plugins, themes, software subscriptions, stock media and app store fees are also your responsibility unless your Agreement says they are included.

06Your responsibilities

To help us deliver great results, you agree to:

• Provide accurate information, content, feedback and approvals on time
• Give us the access we need to your website, ad accounts, analytics and other tools
• Make sure any content, logos or materials you send us are yours to use
• Review work we deliver and let us know about any issues promptly

Delays in providing content, access or approvals may affect timelines and are not considered our fault.

07Results

Marketing, SEO and advertising results depend on many factors outside our control, including search engine and platform algorithms, competition, budgets and market conditions. We work hard to improve your results and report on them honestly, but we do not guarantee specific rankings, traffic, leads, sales or return on ad spend.

08Third-party platforms

Our work often relies on third-party platforms and tools, such as Google, Meta, TikTok, WordPress, Shopify, Calendly and WPForms. These platforms have their own terms and policies, and they can change features, rules or pricing at any time. We are not responsible for outages, policy changes, account suspensions or other actions taken by these platforms.

09Ownership and intellectual property

Once all fees for a project have been paid in full, you own the final deliverables we create specifically for you, such as your website design, content and creative assets. Until full payment is received, ownership stays with Marfa Digitals.

We keep ownership of our own tools, templates, processes, code libraries and know-how that we used before or outside your project, and you receive a license to use them as part of your deliverables. Third-party items (such as plugins, fonts or stock images) remain subject to their own licenses.

Unless you ask us not to, we may show non-confidential work we did for you in our portfolio and case studies.

10Confidentiality

We will keep your non-public business information confidential and use it only to provide our services. We ask that you also keep our proposals, pricing and processes confidential.

11Ending the relationship

Either side may end ongoing monthly services by giving 30 days’ written notice, unless your Agreement sets a different minimum term or notice period. You will pay for all work completed and costs incurred up to the end date. When services end, we will hand over access and files that belong to you once all outstanding invoices are paid.

12Limitation of liability

To the fullest extent allowed by law, Marfa Digitals is not liable for any indirect, incidental, special or consequential losses, including lost profits, lost revenue or lost data. Our total liability for any claim related to our services is limited to the amount you paid us for the specific service in the three (3) months before the claim arose.

13Use of this website

The content on this Website is for general information only. You agree not to misuse the Website, including trying to gain unauthorized access, interfering with its operation or copying its content for commercial use without our permission. Links to other websites are provided for convenience, and we are not responsible for their content.

14Privacy

Information you share with us through the Website, our forms or our meeting booking tools is handled as described in our Privacy Policy.

15Changes to these terms

We may update these Terms from time to time. The latest version will always be posted on this page with the date it was last updated. Continuing to use the Website or our services after changes are posted means you accept the updated Terms.

16Governing law

These Terms are governed by the laws of the United States and the laws of the state in which Marfa Digitals is registered, without regard to conflict of law rules.
